New York Form IT-2659

This article explains what New York Form IT-2659 is, who must file it, and how to complete every section, schedule, calculation, and payment requirement correctly.

New York Form IT-2659, Estimated Tax Penalties for Partnerships and New York S Corporations, is a tax form used by partnerships and New York S corporations to calculate penalties for underpaying or failing to pay required estimated taxes on behalf of certain partners and shareholders. These estimated tax obligations may include New York State income tax and Metropolitan Commuter Transportation Mobility Tax (MCTMT) payments required for corporate partners and nonresident individual partners or shareholders. The form covers the 2025 calendar tax year or an applicable fiscal year beginning and ending during the specified reporting period. It provides a structured method for calculating the estimated tax obligation for the current year, comparing it with the prior year’s tax information, determining whether estimated payments were insufficient, and calculating any resulting penalty. The form contains four schedules. Schedule A calculates the estimated tax requirement using current-year and prior-year income, deductions, credits, and applicable tax rates. Schedule B provides a simplified penalty calculation for qualifying filers who made four equal estimated tax payments on their required dates or made no estimated tax payments. Schedule C provides the regular method for calculating underpayments and penalties separately for each installment period. Schedule D calculates additional penalties when estimated tax was not paid on behalf of partners or shareholders who are corporations or nonresident individuals. The final penalty amount is reported on Page 5, Line 52, and transferred to the payment section on Page 1. Partnerships and S corporations must provide their identifying information, select the correct entity classification, complete the applicable schedules, certify the return, and submit the required payment. The form must be filed by the later of April 15, 2026, or the applicable due date of the partnership or S corporation tax return for the year, taking into account any extension of time to file. Form IT-2659 must be filed separately and must not be attached to or submitted with another form.

Schedule C, Part 1: Computing the Underpayment

The form provides four payment periods with the following due dates:

ColumnPayment due date
AApril 15, 2025
BJune 15, 2025
CSeptember 15, 2025
DJanuary 15, 2026

Complete the calculations separately for each column.

The calculation depends on whether Line 37 shows an overpayment or underpayment.

If Line 37 shows an overpayment, add Lines 36 and 37.

Calculation:

Line 36 + Line 37 = Line 38.

If Line 37 shows an underpayment, subtract Line 37 from Line 36.

Calculation:

Line 36 − Line 37 = Line 38.

Follow the instructions for the applicable situation and enter the result in the corresponding column.

Line 39: Underpayment or Overpayment

Compare Line 38 with Line 35.

If the required installment on Line 35 is greater than Line 38, subtract Line 38 from Line 35.

Calculation:

Line 35 − Line 38 = Underpayment.

If Line 38 is greater than Line 35, subtract Line 35 from Line 38.

Calculation:

Line 38 − Line 35 = Overpayment.

Enter the applicable result in the corresponding column.

Complete Lines 37 through 39 one column at a time, starting with Column A.

Schedule C, Part 2: Computing the Penalty

Part 2 appears on Page 4.

It uses the underpayment amounts calculated on Line 39 to determine the penalty for each installment period.

The form applies an annual penalty rate of 9.5% in the printed calculations.

Line 40: Amount of Underpayment

Transfer the underpayment amount from Line 39 into the corresponding column.

Enter the amounts separately for Columns A, B, C, and D.

Each amount will be used to calculate the penalty for its respective installment period.

First Installment Penalty Period

The first penalty period runs from April 15, 2025, through June 15, 2025.

Line 41: First Installment Penalty Rate

The form provides the following standard calculation:

April 15 – June 15 = 61 days.

Use the printed factor of 0.01587 when the full standard penalty period applies.

The form also provides an alternative calculation area for entering a different ending date and the applicable number of days.

Use that alternative calculation when the applicable period is shorter.

Line 42: First Installment Penalty

Multiply Line 40, Column A, by Line 41.

Calculation:

Line 40, Column A × Line 41 = Line 42.

Enter the result on Line 42.

Calculation:

(92 ÷ 365) × 9.5% = 0.02394.

Use the printed factor of 0.02394 when the full period applies.

The form also provides an alternative calculation area for an adjusted ending date and number of days.

Line 44: Second Installment Penalty

Multiply Line 40, Column B, by Line 43.

Calculation:

Line 40, Column B × Line 43 = Line 44.

Enter the result on Line 44.

Third Installment Penalty Period

The third penalty period runs from September 15, 2025, through January 15, 2026.

Because this period crosses the end of the calendar year, the form divides the calculation into two parts.

Line 45: Third Installment Penalty Rate

The form provides the following calculation for the first part:

September 15 through December 31, 2025:

107 days.

Calculation:

(107 ÷ 365) × 9.5% = 0.02784.

The second part covers January 1 through January 15, 2026:

15 days.

Calculation:

(15 ÷ 365) × 9.5% = 0.00389.

Add both amounts:

0.02784 + 0.00389 = 0.03173.

The standard total factor is 0.03173.

The form also provides separate alternative calculation spaces for the two periods when an adjusted ending date applies.

Enter the applicable number of days and calculated amounts, then add them to determine the total factor for Line 45.

Line 46: Third Installment Penalty

Multiply Line 40, Column C, by Line 45.

Calculation:

Line 40, Column C × Line 45 = Line 46.

Enter the result on Line 46.

Fourth Installment Penalty Period

The fourth penalty period runs from January 15, 2026, through April 15, 2026.

Line 47: Fourth Installment Penalty Rate

Calculation:

(90 ÷ 365) × 9.5% = 0.02341.

Use the printed factor of 0.02341 when the full period applies.

The form also provides an alternative calculation area for a different ending date and the applicable number of days.

Line 48: Fourth Installment Penalty

Multiply Line 40, Column D, by Line 47.

Calculation:

Line 40, Column D × Line 47 = Line 48.

Enter the result on Line 48.

Line 49: Total Penalty Under the Regular Method

Add the penalty amounts from Lines 42, 44, 46, and 48.

Calculation:

Line 42 + Line 44 + Line 46 + Line 48 = Line 49.

Enter the total on Line 49.

This represents the penalty calculated using the regular method for the four installment periods.

Transfer this amount to the final penalty calculation on Page 5.
